These Terms of Service (along with any other terms or information referenced and incorporated herein) (collectively the “Terms”) regulate your access to and use of Aimusicce (the “Services”). By signing up for or using the Services in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

Their core purpose is to provide creative generative tools that let users express their creativity by producing user-generated music and sound effects (“Content”) based on text prompts. The Services rely on artificial intelligence (“AI”) to generate this Content. AI technology for this purpose is still emerging and evolving, so we cannot guarantee that the audio you generate will be suitable or appropriate for your needs. You bear full responsibility for your use of the Services—including the text prompts you submit, the Content you generate, and any consequences resulting from sharing that Content (as defined below).

As long as you comply with these Terms, you may access the Services, and we grant you a non-exclusive right to use them. You must adhere to all applicable laws when using the Services. We and our affiliates own all rights, title, and interest in the Services—including the AI models that power them. Your use of the Services is also subject to our Privacy Policy (available at https://www.aimusicce/privacy), our Acceptable Use Policy, and any additional terms provided by Aimusicce. All of these documents are incorporated into these Terms by reference, and you agree to them by using the Services.

You must be at least 18 years old to use the Services. If you are under 18, you may only use the Services with the permission of your parent or legal guardian. If you are a parent or legal guardian allowing your child to use the Services, these Terms apply to you, and you are responsible for your child’s activity on the platform. By clicking “I have read and agree” below, you confirm that you are of legal age to enter into a binding contract in your jurisdiction and that you accept these Terms. If you are not of legal age, do not agree to these Terms, or lack the authority to bind any relevant entity, you are not authorized to access or use the Services—any such use will be unauthorized and a violation of these Terms. If you use the Services on behalf of a business or other organization, you also confirm that you have the authority to bind that entity to these Terms. As used in these Terms, “you” refers to either the individual who agreed to these Terms or the business/organization represented by an authorized user.

Your Information

For details on how and why we collect, store, use, and/or share your personal information when you use the Services (including when you register for a membership account), please read and review our Privacy Policy.

Commercial Use of the Services

Subject to the rest of these Terms, we encourage users on the Basic Tier to use the Services for creative, non-commercial purposes to generate Content. Basic Tier Users may have limited access to the Services—for example, restrictions on the length of Content generated, the file types of that Content, and the number of Content generations (“Generations”) allowed each month. (Unused Generations from one month will not carry over to the next.) You agree not to attempt to bypass these limitations.

In contrast to Basic Tier Users, users on paid tiers may use the Services to generate Content for some (but not all) commercial purposes. Please refer to our pricing page to view the specific usage restrictions for each plan tier.

If, in any calendar month, the number of monthly active users of a commercial product that includes Content generated by the Services exceeds the limit specified on our pricing page, or if you wish to use Content for purposes not permitted under your current paid membership tier, you must request an Enterprise Tier license from us. We may grant this license at our sole discretion. You are not authorized to continue using the Services, previously generated Content, or new Content unless and until we explicitly grant you such rights. We encourage enterprise users to contact us to discuss licensing and other customized arrangements here.

You may not use the Services or any Content from the Services to develop or train any AI models.

Community Guidelines

Your creativity—while nearly limitless—plays a key role in producing great Content. We say “nearly limitless” because your contributions must be safe, legal, and consistent with these Terms. We want to be clear about our expectations for your behavior and how we may respond if those expectations are not met. These Community Guidelines apply to your Content, your prompts, your use of the Services, and any sharing of Content (as defined below). Please review them carefully.

You will not use the Services in any way prohibited by the “Prohibited Uses” section below or in violation of our Acceptable Use Policy. This includes using the Services to infringe on any copyright or other intellectual property rights.

Before posting, publishing, or otherwise sharing Content with others (collectively, “Content Sharing”), you must carefully consider the potential physical, emotional, mental, financial, and reputational harm it could cause to others. Content that you find acceptable, harmless, satirical, artistic, or humorous may be perceived as harassing, threatening, intimidating, upsetting, disturbing, embarrassing, distressing, or hateful by someone else.

Any violation of these Terms (including these Community Guidelines and our Acceptable Use Policy) may result in us suspending or terminating your access to the Services at our sole discretion—this could include a permanent ban and the forfeiture of any remaining credits or fees you paid for the Services. We may modify the Services at our sole discretion. We will try to provide you with reasonable notice of any suspension, termination, or modification, but we may act without notice if, in our sole judgment, it is required by law, necessary to prevent misuse of the Services, or needed to address or avoid an emergency or adverse impact. If we disable your account due to a violation of these Terms or other conduct-related reasons, you may not create a new account without our explicit permission (which we may deny at our sole discretion). If we allow you to create a new account, this does not mean our initial decision to disable your original account was incorrect or unjustified. Suspending or terminating your access to the Services will not revoke Aimusicce’s rights to your Content as outlined in these Terms.

Prohibited Uses
We want you to use the Services to express yourself and create Content that interests you—but not at the cost of others’ safety and well-being. In addition to agreeing to comply with our Acceptable Use Policy at all times, you agree that you will not (and will not assist others to):

Violate these Terms or any other policies applicable to the Services;
Include personal information (such as phone numbers, home addresses, health information, social security numbers, driver’s license numbers, or other account numbers) about yourself or others in any prompt—and you confirm and warrant that you will not include such information;
Violate the privacy, publicity, or other rights of any third party;
Further or promote criminal activity or enterprises, or provide instructional information about illegal acts;
Generate Content or engage in Content Sharing that a reasonable person would find obscene, lewd, lascivious, offensive, pornographic, indecent, vulgar, prurient, excessively violent, or that glorifies/promotes violence or celebrates the suffering or humiliation of any person or group (living or deceased) (including depictions of suicide or explicit sexual activity);
Generate Content or engage in Content Sharing that risks exploiting, harming, or endangering the health or well-being of children or other minors;
Generate Content or engage in Content Sharing that exploits vulnerabilities, offends human dignity, or is defamatory, libelous, harassing, threatening, embarrassing, disparaging, distressing, or hateful (based on race, ethnicity, or other characteristics) toward a person or group. This includes content that discriminates against someone based on their race, religion, color, age, ethnicity, national origin, disability, physical/mental characteristics, sexual orientation, gender expression, gender identity, family status, medical/genetic condition, personality traits, or physical appearance—including material that distorts the behavior of such a person or group in a way that causes or is likely to cause physical or psychological harm;
Use the Services or any Content to stalk, harass, abuse, mock, ridicule, intimidate, disparage, defame, threaten, defraud, or otherwise mistreat or harm any person or group;
Generate Content or engage in Content Sharing that is intentionally misleading, false, or otherwise inappropriate, or that is intended to harm others (regardless of whether the Content or its distribution is unlawful);
Upload any materials (including audio files or prompts) that: infringe on any intellectual property or other proprietary rights of any party; or that you do not have the right to upload under any law or contractual/fiduciary relationship;
Upload any material, program, or software containing viruses, worms, spyware, Trojan horses, or other code designed to interrupt, destroy, or limit the functionality of the Services, launch a denial-of-service attack, or otherwise interfere with the Services’ operation or availability;
Interfere with or disrupt the Services, servers, or networks connected to the Services;
Access or obtain any materials or information through methods not intentionally made available or provided by Aimusicce via the Services;
Use the Services for fully automated decision-making that adversely affects an individual’s legal rights or creates/modifies a binding, enforceable obligation; use the Services to provide medical advice or interpret medical results; or generate Content or engage in Content Sharing for use in administering justice, law enforcement, or immigration/asylum processes (e.g., predicting an individual will commit fraud or a crime through text profiling, drawing causal links between claims in documents, or using the Content in an indiscriminate or arbitrarily targeted manner);
Use the Services in any way that violates applicable national, federal, state, local, or international laws or regulations;
Use the Services or Content from the Services to develop or train any AI models; 
Attempt to do any of the above.

The Services may block certain text prompts and Content at our sole discretion if we determine they are inappropriate, objectionable, or could expose us or others to harm or liability—even if the Content does not explicitly violate the above prohibitions.

Ownership of Content

Between you and Aimusicce, you own the Content you generate using the Services—subject to applicable law and the restrictions in these Terms. You are responsible for ensuring that all Content is lawful and compliant with these Terms. Due to the nature of machine learning, Content generated by the Services may not be unique to you; the Services may generate identical or similar Content for Aimusicce or third parties. For example, if you submit a prompt like “a moody string quartet piece” and receive a specific output, other users may submit similar prompts and receive similar outputs. Content generated for other users is not considered your Content.

With respect to any audio you upload to the Services, you represent and warrant that you own the necessary license, right, title, or interest in that audio—including all copyrights and publicity rights contained in it. Unless otherwise agreed, by uploading audio to the Services, you grant Aimusicce a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable, perpetual, and irrevocable license to copy, display, upload, perform, distribute, store, modify, and otherwise use that audio to provide you with the Services. You are responsible for the Content—including ensuring that any Content Sharing does not violate applicable laws, third-party intellectual property rights, or these Terms.

You agree that Aimusicce may use your prompts, activity, and Content to develop, improve, and provide its products and services. This includes storing your Content and associated metadata (e.g., music specifications, seeds, text prompts, generated audio, and feedback) in a “history” section of your account, so you can browse and retrieve Content you previously generated. You grant Aimusicce a non-exclusive, worldwide, royalty-free, transferable, sublicensable, perpetual license to use your prompts and Content to improve and provide the Services to you. Aimusicce will never train its models on audio content you upload. If these terms are not acceptable to you, please contact us about an Enterprise account.

Unless explicitly stated otherwise by Aimusicce, all content displayed or made available on the Aimusicce website—other than your prompts and your Content—belongs to Aimusicce, its affiliates, licensors, or other third parties (“Site Content”). This includes (but is not limited to) text, images, illustrations, designs, logos, domain names, service marks, software, scripts, and the selection, compilation, and arrangement of these elements. The Aimusicce website and all Site Content are protected by copyright, trade dress, trademark, moral rights, and other intellectual property laws in your jurisdiction. All such rights are reserved. You may not use Aimusicce’s or its affiliates’ names, logos, or trademarks without our prior written consent.

Fees and Payments

(a) Fees and Billing

You must pay all fees charged to your account (“Fees”) in accordance with the prices and terms listed on the applicable pricing page. We reserve the right to correct pricing errors or mistakes—even if we have already issued an invoice or received payment. You must provide complete and accurate billing information, including a valid and authorized payment method. We will charge your payment method on an agreed-upon recurring basis, but we may reasonably adjust the date of the charge. You authorize us, our affiliates, and our third-party payment processors to charge your payment method for the Fees. If your payment fails, we will notify you in writing and may suspend your access to the Services until payment is received. If you have a good-faith, reasonable dispute about any portion of an invoice, you must send us written notice and supporting documentation within two calendar weeks of the dispute arising, explaining your reasons in sufficient detail. Payments are non-refundable unless otherwise stated in these Terms.

(b) Sales Taxes

Sales taxes, value-added tax (VAT), and other indirect taxes will be added to your subscription fee. These taxes are calculated using the applicable rate for your territorial jurisdiction at the time of purchase.

(c) Price Changes

We may change our prices by notifying you via your account and/or our website. The notice will specify an effective date for the changes. Any price adjustments will apply to the Fees charged to your account immediately after the effective date—subject to applicable law.

(d) Late Payments

If any portion of your Fees is past due, we may suspend your access to the Services after providing you with written notice of the late payment.

Security

You must implement reasonable and appropriate measures to secure your access to and use of the Services. If you discover any vulnerabilities or security breaches related to your use of the Services or your account, you must contact Aimusicce promptly and provide details of the issue.

Feedback

We welcome feedback, comments, ideas, proposals, and suggestions for improving the Services (“Feedback”). You acknowledge that any Feedback you provide to Aimusicce is not confidential. Aimusicce and its affiliates may use and share this Feedback for any purpose without providing you with compensation, attribution, or acknowledgment.

Termination of Repeat Infringers

If we determine that you are a repeat copyright infringer, we may terminate or disable your access to the Services in appropriate circumstances.

Disclaimer

The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranties (express, implied, statutory, or otherwise) with respect to the Services or Content. We disclaim all warranties, including (but not limited to) warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Aimusicce does not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free; that the “history” feature will remain available at all times or indefinitely; or that the results from using the Services will be accurate or reliable.

Aimusicce reserves the right to modify or discontinue the Services (or any part of them) temporarily or permanently—with or without notice. We will try to provide reasonable notice before discontinuing the Services, but we may act without notice if, in our sole judgment, it is required by law, necessary to prevent misuse of the Services, or needed to address or avoid an emergency or adverse impact. You agree that Aimusicce will not be liable to you or any third party for modifying or discontinuing the Services—except as outlined in the “Limitation of Liability” section below.

You understand that we are not responsible for any activities or legal consequences resulting from your use of the Services. You are responsible for using the Services in compliance with these Terms and all applicable laws and regulations of the jurisdiction where you are domiciled, reside, or are located when using the Services— 以及 the jurisdictions where you share any Content.

You agree that, regardless of any statute or law to the contrary, any claim or cause of action you may have arising from or related to your use of the Services or these Terms must be filed within one (1) year of the claim or cause of action arising. Otherwise, it will be permanently barred.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain types of damages. In such cases, the above limitations may not apply to you.

Entire Agreement

These Terms constitute the entire agreement between you and Aimusicce regarding your use of the Services. They supersede all prior or contemporaneous agreements, communications, or understandings between you and Aimusicce on this subject.

Assignment and Delegation

Your account is personal to you and may not be shared with or transferred to any other person. You may not assign or delegate these Terms or any rights or obligations under them without our explicit permission. Any attempt to assign or delegate without permission will be null and void and will automatically terminate your right to use the Services. We may assign or delegate these Terms or any rights or obligations under them in connection with a merger, acquisition, or sale of all or substantially all of our assets; to any affiliate; or as part of a corporate reorganization.

Changes to These Terms

We may change or modify these Terms by posting a revised version on the Aimusicce website or by providing you with notice in another way. The top of the revised Terms will state the date of the last update. Changes will not apply retroactively—except for changes related to new Service features or changes made for legal reasons, which will take effect immediately. If you continue to use the Services after any changes are made, you agree to the revised Terms.
